Terms & Conditions

On Subscription to the Services provided by Horizon Business Solutions (“HBS”, “us”, “we”) on its website (www.hbshorizon.com) or any sub-domain of this website, the User shall agree with the following terms –   

1) Definition: 

User: Unless otherwise defined, User means Users who have subscribed to the Website to use the Services according to the terms of this Agreement.

User Data: User Data means the data or information provided to or uploaded by User, including Personal Data, in connection with the Services.

Services’ means all the services subscribed by the User and provided by HBS under this Agreement.

Subscription Fee: Customer shall pay to HBS in consideration for the Services provided, the subscription fee as prescribed or scheduled by BL. 

2) Terms of Use: 

A) The User shall:

  1. enter complete and accurate information for subscription/registration
  2. use the Service in compliance with the terms of this Agreement
  3. use reasonable efforts to prevent unauthorized access or use of the Service and to notify HBS promptly of any such unauthorized access or use.
  4. not use the Services provided by HBS for any unauthorized and unlawful purpose.
  5. be responsible for maintaining the confidentiality of passwords associated with any login provided to access the Website. 

B)    The User shall not:

  • license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, share, or otherwise make the Service available to any third party;
  • modify, copy or create any derivative works based on the Service;
  • frame or mirror any content forming part of the Service
  • copy any features, functions, interfaces or graphics of the Service or any part thereof.
  • use the Service in any manner that exceeds the scope of use permitted herein. 

3) Proprietary Rights: HBS has exclusive and unrestricted ownership and reserves all Intellectual Property Rights in the Services, where Intellectual Property Rights means and includes copyrights, trademarks, trade secrets, patents and other proprietary rights issued, honoured or enforceable under any applicable laws anywhere in the world.

4) Confidentiality: Confidential Information shall mean all sensitive information, data, documents furnished by either Party before or after the Effective Date hereof, whether written or oral, which is disclosed by any of the Parties to the agreement and which is designated as ‘Confidential’ or deemed to be Confidential under the given circumstances at the time of disclosure.

  1. A Party shall not disclose or use any Confidential Information of the other Party for any purpose outside the scope of this Agreement, except with the other Party’s prior consent or as required by Law.
  2. Each Party agrees to protect the Confidential Information of the other Party in the same manner that it protects its own but in no event using less than a reasonable degree of care. 

Exceptions:

  • HBS ensures to protect the User Data and ensures not access it except to the extent:
  • necessary to respond to Service-related issues or other technical problems.
  • as required to perform its obligations necessary to perform the Services requested by the Customer.
  • as otherwise explicitly permitted by the terms of this Agreement. 
  • The Parties agree that HBS and/or its affiliates may use User’s Data in order to develop, maintain and improve the services, and, or, to tailor services to User’s needs and for market research purposes during the term of this Agreement and thereafter.
  • On subscription to the services the user gives assent to HBS to send notifications (news/articles/audio/video/message), as analysed by HBS through User’s Data considering User’s interest/ business prospects/business category/ suitability/location/relevancy, to him/her/it through email or phone unless the User voluntarily unsubscribe from such utility.
  • HBS may access User’s Data, its related systems or networks and devices to the extent necessary to perform the Services and/or to provide maintenance and/or support. 

5) Payment Terms: Under this agreement the User agrees to pay for the availed Services to HBS in accordance with the payment schedule/Performa invoice.

6) Term: This Agreement shall be effective as per the agreed term and duration between the Parties. 

7) Applicable Law and Dispute Settlement:

  1. HBS is committed to protecting your privacy and ensuring the security of your personal information. As part of our commitment, our website is in compliance with Domestic and International Laws on Privacy and Data Protection and Security.
  2. The Parties agree that this Agreement shall be governed and construed in accordance to the laws of India and the Courts in Katni shall have the exclusive jurisdiction in all the matters arising from this Agreement.

8) Miscellaneous:

  • If you are a user associate, consultant, intern or are in any way associated with the Company that has subscribed to the Services and the subscribing Company has authorized you, explicitly or implicitly, to use the Services, this Agreement is a three-way agreement between you, the Company and HBS. Both the Company and HBS may seek recourse against you for any violation of the terms of this Agreement.
  • You shall indemnify HBS for any claims, losses or damages, or for the costs of any regulatory or court proceedings suffered by HBS as a result of your breach under any applicable law.
  • The User agrees that this Agreement and the Services of HBS are subject to any modification, or may be removed by HBS, as a result of change in government regulations, policies and local laws as applicable.
  • User’s rights and obligations are related to Website only and not to any other Service or Service that may be provided by HBS.
  • HBS shall not be liable for any loss, damage or claim or expenses caused due to circumstances beyond HBS’s reasonable control, including without limitation, acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labour problems, or internet service provider failures or delays.
  • If a User provides any information that is false, inaccurate, obsolete or incomplete or HBS has reasonable grounds to suspect that such information is false, inaccurate, not current or incomplete; HBS reserves the right to discontinue the Services to the User.
  • HBS reserves the right to suspend or terminate a User’s access to the Website and the Services with or without notice, in cases where, such user breaches any terms and conditions of the agreement; an outsider reports infringement of any of its privilege because of your utilization of the Administrations; HBS has reasonable ground for suspecting any illicit, false or abusive activity on part of such user; or HBS believes in its sole prudence that user’s activity are contrary to the interest of the site.
  • Once Services are suspended or terminated whether temporarily or permanently, the User may not continue to use the Website under the same account and such User shall no longer have access to data, messages, files and other material kept on the Website by such User.
  • HBS shall not be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising directly or indirectly from the use of, or the inability to use the Website or the content, materials and functions related thereto.
  • HBS ensures to make the subscribed Services available to the User. However, in case of any contradictions between different versions of the Services Description, the one being made available by the HBS shall prevail, provided that such amendments shall not materially diminish the overall Service.
  • HBS may update, improve and enhance the Services from time to time; any such updates in the Services are included in the Agreement.
  • HBS reserves the right to modify the Terms at any time without giving you any prior notice.
  • HBS reserves the right to use all information captured from the user while user visits the Website.
  • The information, whether Public or Private, available in Public Domain may be freely used, collected and disclosed without your consent.
  • The Website uses cookies to improve the user interface and the Website experience. The browser places cookies on their hard drive to save the record for future, in order to track and check the information. If in case, you restrict the cookies, the Website may be limited in the use of some of the features.
  • User Data shall not contain infringing, obscene, threatening, or otherwise unlawful or tortious material, including material that disrupt the performance of the Service or the data contained therein.
